Terms and Conditions

These Terms and Conditions (“Agreement”) are entered into by and between STM Accounting inc. (“the Firm) and the client (“Client,” “you,” or “your”) who engages the Firm for accounting and related services. By using our services, you agree to be bound by the terms outlined in this Agreement. If you do not agree with any of the terms, you should not use our services.


1. Services Provided

We provide accounting, bookkeeping, tax preparation, financial advisory, and other related professional services (“Services”). The specific services provided will be outlined in the engagement letter or contract between us and the Client.

  • Scope of Services: We will perform accounting and financial services in a professional and timely manner based on your needs and as mutually agreed upon.
  • Additional Services: Any additional services outside the agreed scope will be subject to separate charges and a new engagement agreement.

2. Client Responsibilities

As a Client, you agree to the following responsibilities:

  • Accurate Information: You will provide us with all necessary, accurate, and complete information required for the services we are performing. Failure to provide such information may impact the quality and accuracy of the services provided.
  • Timeliness: You agree to provide any required documentation, access, or other materials promptly to enable us to perform our services.
  • Compliance: You are responsible for ensuring that the information provided complies with all applicable laws, regulations, and standards, particularly for tax and financial matters.


3. Fees and Payment

  • Fees: Our fees for services are outlined in the engagement letter or agreement, and are typically based on the complexity and scope of services provided. Any adjustments or additional services will be billed separately.
  • Payment Terms: Invoices are due upon receipt unless otherwise stated. We reserve the right to charge interest on any overdue balances at a rate of 3% per month (or the maximum allowable rate by law).
  • Billing: We may issue invoices periodically based on the progress of the work or completion of specific milestones, as agreed upon. Payment must be made in full for the services rendered by the due date.

4. Confidentiality

We are committed to maintaining the confidentiality of all information provided by you. We will not disclose any of your financial, business, or personal data to third parties without your express consent, except as required by law or for the purpose of providing the services under this Agreement.

  • Confidential Information: This includes, but is not limited to, tax records, financial statements, contracts, and any proprietary business data.
  • Exceptions: If required by law or in response to legal orders (e.g., subpoenas, government investigations), we may be required to disclose your information.


5. Limitation of Liability

  • No Guarantee of Outcome: While we strive to provide high-quality services, we do not guarantee specific results or outcomes (e.g., tax savings or audit avoidance).
  • Liability Limitation: To the fullest extent permitted by law, our liability is limited to the amount you paid for the services that are directly related to the issue in question. We are not liable for any indirect, consequential, or special damages arising out of our services.

6. Term and Termination

  • Term: This Agreement is effective from the date you begin using our services and continues until terminated by either party as outlined below.
  • Termination: Either party may terminate this Agreement by providing written notice to the other party. Upon termination, you will be responsible for payment for all services rendered up until the termination date. We may terminate this Agreement immediately if you fail to fulfill your payment obligations or provide necessary information.
  • Effect of Termination: Termination does not affect any rights or obligations that have already accrued before the termination.


7. Intellectual Property

  • Ownership: All materials, documents, and intellectual property created by us in the course of providing services (e.g., reports, financial statements, templates) remain the intellectual property of [Your Firm Name] unless otherwise specified in a written agreement.
  • License: You are granted a limited license to use these materials solely for your business purposes. You may not distribute, modify, or use these materials for commercial purposes without our prior written consent.


8. Dispute Resolution

  • Mediation: Any disputes or claims arising out of or relating to this Agreement shall be first attempted to be resolved through informal negotiation. If the dispute cannot be resolved through negotiation, either party may request mediation.
  • Arbitration: If mediation is unsuccessful, the dispute will be settled by binding arbitration under the rules of the [Arbitration Association/Institution] in the jurisdiction where the Firm operates.
  • Governing Law: This Agreement will be governed by and construed in accordance with the laws of the state of British Columbia, Canada.

9. Indemnification

You agree to indemnify and hold harmless Vyacheslav Li, its directors, employees, and affiliates from any claims, damages, or liabilities arising from:

  • Your failure to provide accurate information.
  • Any breach of this Agreement by you.
  • Any legal claims brought against us due to your actions, including tax fraud or other illegal activities.


10. Force Majeure

We will not be held liable for any failure or delay in performance of our obligations under this Agreement if the failure is due to events beyond our reasonable control, such as acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

11. Amendments

We may amend this Agreement at any time by providing written notice of the changes. Continued use of our services after such amendments will constitute acceptance of the updated terms.

12. Severability

If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of the Agreement shall remain in full force and effect.

13. Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, or representations.
